Foreign Business Loan in India: Documents That You Will Need

Borrowing overseas money is an exhausting paper trail. Founders routinely underestimate the sheer volume of paperwork.

When you apply for a foreign business loan in India, the documents that you will need are going to dictate your life for the next few months.

You aren’t just dealing with a private lender. You are dealing with the Reserve Bank of India (RBI). And the RBI doesn’t care about your brilliant startup pitch deck. They care about strict, unrelenting compliance.

Under the February 2026 RBI updates, automatic route borrowing limits shot up to $1 billion, or 300% of a borrower’s net worth. With bigger limits comes tighter scrutiny.

RBI Rules for a Foreign Business Loan in India

India simply doesn’t let foreign cash wash into local corporate bank accounts unchecked. The entire process is governed by the External Commercial Borrowings (ECB) framework.

Every single piece of paper must be physically and digitally routed through an Authorized Dealer (AD) Category-I Bank.

This bank acts as your gatekeeper. Terrified of FEMA violations, they over-scrutinize everything.

If the manager spots a single typo, they will bounce the entire file. The RBI won’t even look at it until the AD bank gives the green light.

The Foundational Documents You will need

You need your Memorandum & Articles of Association (MOA/AOA), Certificate of Incorporation. And your Legal Entity Identifier (LEI) registration too.

But lenders and regulators want human proof, too. This means full KYC details. Not just local tax records, but passports, visas, and utility bills of foreign directors, parent stakeholders, or non-resident lenders.

Getting a wealthy foreign investor to hand over their electricity bill is exactly as annoying as it sounds. Oh, and you need a formalized Board Resolution.

This is a legally binding piece of paper proving the company’s board actually sat down, voted, and agreed to take on foreign debt.

Financial Proofs for a Foreign Business Loan in India

Banks want historical data, and they want it certified. They demand the last three years of perfectly audited balance sheets, profit and loss statements, and Income Tax Returns (ITR).

Because the 2026 rules enforce a Minimum Average Maturity Period (MAMP) of three years for most loans, you must prove your business can survive that long.

You will need your Chartered Accountant to draft and certify projected balance sheets covering the entire tenure of the requested loan.

Throw in your GST returns for the last six to twelve months just to prove the business is actively trading and paying its dues.

FEMA Compliance and Specialized Documents You Will Need

You have to file the dreaded Form ECB. This document is mandatory to secure a Loan Registration Number (LRN) from the RBI.

Without an LRN, you literally cannot withdraw a single rupee of that foreign debt, even if the lender already approved the transfer.

If you run a DPIIT-recognized startup, you get a minor shortcut. Startups can borrow up to $3 million annually under a separate 2026 framework. But you must attach your official startup registration certificates to qualify.

Finally, you need a strict end-use declaration. You must sign a sworn oath promising this foreign money won’t be dumped into real estate speculation or stock market gambling.
